smashscrap.ca Ltd (“SMASH”, “we”, “our” or “us”) operates this website and buys catalytic converters directly from sellers through the quote, shipping, inspection, and payment service described here (the “Services”). These Terms of Service (“Terms”) constitute a legally binding agreement between you and smashscrap.ca Ltd.

These Terms apply to this direct-purchase website. Other websites owned and operated by smashscrap.ca Ltd may provide different services under their own terms.

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THIS WEBSITE, SUBMITTING A LEAD FORM, OR OTHERWISE USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT ACCEPT THESE TERMS, YOU MUST NOT ACCESS OR USE THIS WEBSITE OR THE SERVICES. IF YOU ARE USING OUR SERVICES ON BEHALF OF AN ORGANIZATION, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THAT ORGANIZATION TO THESE TERMS. YOU REPRESENT THAT YOU ARE AT LEAST THE LEGAL AGE OF MAJORITY IN YOUR JURISDICTION.

1. Eligibility

You may only use this website and the Services if you are a resident of Canada or the United States, and you are at least the legal age of majority in your jurisdiction of residence. If you are under the age of majority, please exit the website and do not use the Services. We reserve the right to refuse service or terminate access if we believe a user does not meet these eligibility requirements.

2. Services Provided

This website lets you ask SMASH for a price on catalytic converters you own or are authorized to sell. SMASH reviews the photos and details you submit and may send one all-in offer. If you accept, SMASH provides or arranges the shipping instructions described in the offer, receives and inspects the converter(s), and pays you by Interac e-Transfer after the shipment matches the submission and passes inspection.

Submitting a request does not sell your converter, guarantee an offer, or require either party to complete a purchase. A purchase is directly between you and SMASH only after you accept an offer. Shipping coverage, package limits, offer validity, inspection conditions, identification requirements, and payment timing will be stated on this website or in the offer and related messages.

3. Lead Submission

When you submit a lead form on this site:

  • You represent that all information provided is accurate, truthful, and complete.
  • You represent that you are the legal owner of the vehicle or materials described, or are authorized to act on behalf of the owner.
  • You consent to being contacted by our team regarding your submission by phone, email, or text message.
  • You understand that submitting a form does not guarantee a purchase, any specific offer amount, or that we will be able to service your request.
  • You acknowledge that any quotes or estimates provided are preliminary and may be adjusted upon physical inspection of the vehicle or materials.

3.1. Compliance and Documentation

The sale, transfer, or disposal of vehicles and scrap materials may be subject to provincial, state, and federal laws, including requirements for title transfer documentation, valid government-issued identification, and bill of sale. You agree to provide all documentation reasonably required by SMASH to complete a transaction lawfully. SMASH reserve the right to refuse service if required documentation is not provided or if ownership cannot be verified.

4. Ownership Representation & Release of Liability

By submitting a lead form on this website, you represent and warrant that:

  • You are the legal owner of the vehicle, scrap metal, or other materials described in your submission, or you are duly authorized by the legal owner to arrange for its sale or disposal.
  • The materials are free from any liens, encumbrances, or claims by third parties, unless disclosed in your submission.
  • You have the full legal right and authority to sell, transfer, or dispose of the materials described.

You acknowledge that SMASH may receive, inspect, and purchase the catalytic converter(s) you ship after you accept an offer. You remain responsible for truthful ownership and condition information and for packaging the shipment in accordance with the instructions provided.

YOU AGREE TO RELEASE, INDEMNIFY, AND HOLD HARMLESS SMASH AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND AFFILIATES FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE LEGAL FEES) ARISING FROM OR RELATED TO: (A) ANY MISREPRESENTATION REGARDING YOUR OWNERSHIP OR AUTHORITY TO SELL THE MATERIALS; (B) ANY CLAIM OF THEFT, STOLEN PROPERTY, FRAUD, OR MONEY LAUNDERING RELATED TO MATERIALS YOU SUBMITTED THROUGH THE WEBSITE; (C) ANY DISPUTE BETWEEN YOU AND A THIRD PARTY REGARDING OWNERSHIP OF THE MATERIALS; OR (D) ANY VIOLATION OF APPLICABLE LAWS RELATED TO THE SALE, TRANSFER, OR DISPOSAL OF THE MATERIALS.

SMASH reserves the right to report suspicious activity to law enforcement authorities and to cooperate fully with any investigation related to stolen property, fraud, or money laundering.

5. No Guarantee of Offers

Submitting a form does not guarantee a specific offer amount or any offer. A quote is based on the photos and information you provide, current market conditions, and expected converter content. SMASH may adjust or withdraw the price if inspection shows a different unit, quantity, condition, or contents than the submission. Any completed purchase is directly between you and SMASH.

6. User Conduct

You agree not to:

  • Submit false, misleading, or fraudulent information.
  • Submit leads for vehicles or materials you do not own or are not authorized to sell.
  • Attempt to circumvent rate limits, security measures, or access controls.
  • Use automated tools, bots, or scrapers to submit forms or access the website without authorization.
  • Upload harmful, illegal, or inappropriate content, including malware or viruses.
  • Interfere with or disrupt the operation of the website or the Services.
  • Collect or harvest information from the website in a bulk or systematic way.
  • Impersonate another person or misrepresent your identity or affiliation.
  • Conceal household waste, hazardous materials, chemicals, or medical waste inside vehicles or scrap materials submitted for pickup.

7. Intellectual Property

All content on this site, including text, graphics, logos, designs, and software, is the property of smashscrap.ca Ltd or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use this website for its intended purpose of submitting quote requests and receiving information about our Services.

8. Disclaimer of Warranties

THE WEBSITE AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES, REPRESENTATIONS, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT. SMASH DOES NOT WARRANT THAT THE WEBSITE WILL OPERATE ERROR-FREE, UNINTERRUPTED, OR SECURELY, OR THAT ANY FILES OR INFORMATION DOWNLOADED FROM THE WEBSITE WILL BE FREE OF MALICIOUS CODE. YOUR USE OF THE WEBSITE AND SERVICES IS AT YOUR OWN RISK.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SMASH AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR REPUTATION, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE WEBSITE OR THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF SMASH FOR ALL CLAIMS RELATED TO THE WEBSITE OR THE SERVICES EXCEED FIVE HUNDRED CANADIAN DOLLARS (CAD $500).

10. Indemnification

Without limiting the specific indemnification obligations in Section 4 (Ownership Representation & Release of Liability), you also agree to indemnify, defend, and hold harmless smashscrap.ca Ltd and its directors, officers, employees, agents, partners, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the website or the Services; (b) your breach of these Terms; (c) any information or content you submit through the website; or (d) your violation of any applicable law or the rights of a third party.

11. Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE ARISING FROM THESE TERMS OR YOUR USE OF THE WEBSITE OR SERVICES WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR SMASH WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY.

12. Modifications

We reserve the right to modify these Terms of Service at any time. We will post the amended version with a new revision date on this page. Amendments will take effect thirty (30) days after the amended version is posted. If you continue to use the website or Services after the 30-day period, you agree to the amended Terms. If you disagree with any amendments, your sole remedy is to cease using the website and Services within the 30-day notice period.

13. Termination

We may, in our sole discretion, terminate or suspend your access to the website and Services at any time, for any reason or no reason, with or without notice, and without liability to you. These Terms will nevertheless continue to apply in respect of your prior use of the website and Services.

14. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severed from the remaining provisions and shall not affect the validity or enforceability of the remaining provisions.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without regard to conflict of law provisions. You and smashscrap.ca Ltd each submit to the exclusive jurisdiction of the courts of Manitoba in respect of any dispute arising from these Terms or your use of the website or Services. Notwithstanding the foregoing, smashscrap.ca Ltd shall be entitled to seek injunctive or other equitable relief from any court of competent jurisdiction.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and smashscrap.ca Ltd with respect to use of the website and Services, and supersede all prior or contemporaneous agreements, communications, and proposals.
